LLC Formation for Foreigners

It’s a person or company authorized to receive legal documents and official notices on behalf of your LLC within the US. It’s a legal requirement to keep your company in good standing, and we include it as part of the process.
Yes. You can obtain your EIN (federal tax ID number) without having a Social Security Number — we handle that process for you.

The complete process takes 2 to 3 weeks, from choosing the state to having your LLC formed, your EIN issued, and your bank account process underway.
As a foreigner, your two real options for operating in the US are the LLC and the C-Corporation (the S-Corporation isn’t available to non-residents, since the law requires its owners to be US citizens or residents).
LLC (Limited Liability Company): fewer administrative formalities (no board of directors, meeting minutes, etc.); it’s a “disregarded” or pass-through entity — profit flows directly to the owner’s tax return, with no separate corporate tax; annual IRS filing is still mandatory even with no income or activity (Form 5472 plus a simplified Form 1120); it’s the most common and recommended option for most foreign entrepreneurs just starting out: freelancers, e-commerce, digital services, consulting.
C-Corporation: a more formal structure — requires a board of directors, shareholders, minutes and greater corporate compliance; pays federal corporate tax on its profits, and then shareholders pay tax again if they receive dividends (“double taxation”); it’s the preferred structure when you’re looking to raise capital from investors or venture capital funds in the US; it carries more reporting obligations and higher administrative cost than an LLC.
Which one is right for you? If you’re just starting out, selling products or services, and not raising capital from institutional investors, the LLC is almost always the best option: simpler, more affordable, and with less administrative burden. If your plan is to attract investment from funds or institutional partners in the US, the C-Corporation is usually the structure they’ll require. We help you decide based on your specific case.
You don’t necessarily have to pay taxes if your LLC doesn’t generate income connected to a US trade or business — but you’re always required to file and report, even at zero. Filing isn’t optional, even without activity.
These are the main obligations:
• With the IRS (always mandatory, even with no income): if you’re a foreign owner of a single-member LLC, you must file Form 5472 along with a simplified Form 1120 each year, before April 15. Penalties for not filing are severe.
• With the state where you formed your LLC: most states require an annual report and a maintenance fee — this varies by state.
• Beneficial ownership reporting (BOI/FinCEN): LLCs formed within the United States are currently exempt from this federal report, regardless of whether the owner is a foreigner.

ITIN
The ITIN (Individual Taxpayer Identification Number) is a tax ID number issued by the IRS for people who need to file or meet US tax obligations but don’t qualify for a Social Security Number (SSN). It lets you file taxes, open certain accounts, and meet your IRS obligations even if you’re not a citizen or resident.
Your LLC itself uses its own number (the EIN), not an ITIN. But as the foreign owner, you do need an ITIN if you want or need to file a personal tax return (1040-NR), if your LLC generates income connected to a US trade or business, or if you need to open certain accounts or access financial services under your own name.

The IRS standard processing time is 7 to 11 weeks. During peak season (January to April) it can extend up to 14 weeks. That’s why we recommend starting the process early, without waiting until the last minute before your filing deadline.
You need your valid passport and a valid visa with a US entry within the past year. We review your specific case and confirm if any additional document applies before starting the process.
No. The ITIN is for tax purposes only — it doesn’t authorize you to work in the US, doesn’t provide Social Security benefits, and isn’t an immigration status. It’s exclusively for meeting your tax obligations.
Yes. Your ITIN expires if you go 3 consecutive years without using it on a federal tax return. If that happens, it needs to be renewed before you use it again — we’ll give you a heads-up so it never expires on you.
